IMPORTANT NOTICE: THIS IS A BINDING LEGAL AGREEMENT. PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE SERVICE.

1. Introduction & Acceptance of Terms

Welcome to Linzo.co! These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") provided by Mars AI Technology Solutions Limited ("Linzo," "we," "us," or "our"). Our Service includes our informational website located at https://www.linzo.co and our digital business card creation platform located at https://app.linzo.co.

By creating an account, accessing the Site, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.

2. User Accounts and Registration

To access most features of the Service, you must register for an account. When you register, you agree to: (a) provide accurate, current, and complete information as prompted by our registration forms; (b) maintain the security of your password and identification; (c) maintain and promptly update your registration data, and any other information you provide to us, to keep it accurate, current, and complete; (d) be fully responsible for all use of your account and for any actions that take place using your account.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account.

3. The Linzo Service

Linzo provides a platform for creating, customizing, managing, and sharing digital business cards. The Service includes various features which may differ based on your subscription plan ("Plan"). We reserve the right to modify, suspend, or discontinue the Service (or any part or feature thereof) at any time with or without notice to you.

4. Subscriptions, Payments, and Cancellation

a. Plans: We offer various subscription plans, including a free plan ("Personal Plan") and paid plans ("Paid Plans"). Features available depend on the Plan selected.

b. Payments: For Paid Plans, you agree to pay all applicable fees as described on our pricing page. Fees are billed in advance on a recurring basis (e.g., monthly or yearly). You authorize us and our third-party payment processor(s) (e.g., Stripe) to charge your chosen payment method for the recurring fees.

c. Automatic Renewal: Your subscription to a Paid Plan will automatically renew at the end of each billing cycle unless you cancel it through your account settings before the end of the current cycle.

d. Price Changes: We reserve the right to change the prices for our Paid Plans. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after a price change constitutes your agreement to pay the new price.

e. Cancellation: You may cancel your subscription at any time through your account dashboard. The cancellation will take effect at the end of the current billing period. You will not be charged for the next billing cycle.

f. Refunds: All fees paid are non-refundable, except as required by law or as otherwise determined by us in our sole discretion.

5. User Responsibilities & Acceptable Use

You are solely responsible for your conduct and any data, text, information, graphics, photos, profiles, audio and video clips, links, and other content ("User Content") that you submit, post, and display on the Linzo Service.

You agree not to use the Service to:

• Upload, post, or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Infringe upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
• Upload or transmit any material that contains software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
• Interfere with or disrupt the Service or servers or networks connected to the Service;
• Attempt to reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.

6. User-Generated Content and Licensing

You retain all ownership rights to your User Content. However, by creating and publishing a digital business card with Linzo, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content solely for the purposes of operating, providing, and improving the Service. This license allows us to host your card, display it, and share it when you initiate a share action.

We reserve the right, but not the obligation, to remove any User Content that we determine, in our sole discretion, violates these Terms.

7. Linzo's Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Linzo and its licensors. This includes our branding, logos, website design, themes, and all underlying software and technology. Our intellectual property is protected by copyright, trademark, and other laws of London United Kingdom and foreign countries. You agree not to copy, modify, or create derivative works based on the Service.

8. Term and Termination

These Terms will remain in full force and effect while you use the Service.

You may terminate your use of the Service at any time by canceling your subscription and deleting your account.

We may suspend or terminate your account and your access to the Service at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your account. We may also terminate or suspend your account for a material breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICable LAW, LINZO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINZO, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to indemnify and hold harmless Linzo and its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys' fees) arising from or in any way related to any third-party claims relating to (a) your use of the Service (including any actions taken by a third party using your account), and (b) your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of London / United Kingdom, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in London / United Kingdom.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting a notice on our Site or sending you an email. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
